Assignment of a musical work

The Assignor: Naïka Désir, songwriter, Haïti (identity verified by 18°N). The Assignee: l'adjudicataire du lot. 18°N is not a party to this assignment: the platform runs the sale, collects the price and pays it over, without acquiring or transferring any right in the work.

Assignment of “Lanmou doudou”. The Assignee receives the complete audio file at the best available definition, separate stems where they exist, and the lyrics where applicable.

The Assignor assigns to the Assignee, on an exclusive basis, the commercial exploitation rights in the work: reproduction, adaptation (arrangement, key, structure), distribution and making available to the public online. Territory: worldwide. Term: the legal term of copyright protection.

The Assignor's moral right, which cannot be assigned, remains: they remain the author of the work. The Assignor has declared that they are affiliated with no collecting society or publishing administrator to date. Should they become so, the resulting author's share will be theirs; it will come from broadcasters, not from the Assignee, who owes nothing beyond the hammer price. The Assignee may not assign the acquired rights onwards: they exploit them, they do not pass them on.

The work is assigned once only. From signature, the Assignor shall not assign, license or commercially exploit it themselves, and shall withdraw any prior offering on any medium.

Identification, mandatory: the Assignee shall declare the Assignor as author-composer in the metadata of any release and with the relevant collecting societies, and shall pass on the information needed for their collection. Public credit — the name shown on release materials — at the Assignor's choice: Every exploitation shall mention “Naïka Désir”.

The Assignor warrants that the work is an original and entirely human creation, free of any generation by artificial intelligence, and that they hold all the rights assigned. They have declared that the work contains no third-party element — no sample, no licensed loop, no instrumental by another, no cover. They have declared that they performed the whole of the work themselves. They indemnify the Assignee and 18°N against any third-party claim based on these declarations.

18°N verifies the artist's identity, listens to every submitted work and rejects those it finds doubtful. Those checks are no warranty of originality: that warranty rests on the Assignor, who signs it in Article 7. 18°N's liability under this sale may not exceed the sums it has collected in respect of it.

Hammer price: €320, paid over in full to the Assignor. Platform commission: 35 %, borne by the Assignee, on top of the price. Funds are held in escrow until the files are actually delivered.

The files are delivered to the Assignee upon signature and payment. Files not delivered or not conforming to Article 2: the Assignee is refunded in full. Should the work prove to be infringing or contrary to the warranties in Article 7, the sale is rescinded, the Assignee refunded, and 18°N turns against the Assignor.

This contract is archived by 18°N in its exact version (version 2026-09-15), with the date, time and account identifiers of the signatories. A copy is given to each party.
